PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR (THE "CUSTOMER'S") RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATION AND EXCLUSIONS THAT MAY APPLY TO YOU.
This Agreement contains the terms and conditions that apply to Customer's purchase from Reliable of office supplies and/or related products ("Supplies") in the United States. By accepting delivery of the Supplies, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY UNLESS THE CUSTOMER AND RELIABLE HAVE SIGNED A SEPARATE AGREEMENT COVERING THE PURCHASE OF THE SUPPLIES IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN.
1. Purchase. Upon Reliable's acceptance of the Customer's order, a firm contract for the purchase and sale of the Supplies ordered, sold and/or distributed by Reliable will be formed between Reliable and Customer, and shall incorporate all the terms set forth herein. These terms and conditions shall NOT be altered or amended by the use of any document(s). Any attempt to alter this document or to enter an order for Supplies which are subject to additional and/or altered terms and conditions will become null and void, unless otherwise agreed to in a written agreement signed by both parties.
2. Order Acceptance. All product orders are for use and delivery within the United States. ALL ORDERS PLACED BY CUSTOMER ARE SUBJECT TO ACCEPTANCE BY RELIABLE.
3. Delivery. Delivery shall be subject to Reliable's Shipping Policy as set forth on this Web site.
4. Warranty. Reliable warrants that Reliable is the legal and rightful owner of the Supplies or that it is legally licensed and/or authorized to sell and/or distribute Supplies being purchased hereunder. All Supplies delivered hereunder will be free and clear of any and all encumbrances of any kind.
You acknowledge that Reliable is not the manufacturer of any of the Supplies purchased hereunder. You shall be entitled to all manufacturers' product and patent infringement warranties associated with Supplies purchased by you hereunder.
THIS WARRANTY SUPERSEDES ALL INCONSISTENT PROVISIONS OF ANY AND ALL PURCHASE ORDERS, INVOICES, ACKNOWLEDGMENTS, OR OTHER WRITINGS OR STATEMENTS, WRITTEN OR OTHERWISE. RELIABLE DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES AND PRODUCT LIABILITY, SPECIFICALLY INCLUDING THE IMPLIED WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
5. Limitation of Liability. In no event will Reliable be liable for any indirect, special, incidental, or consequential damages, whether based on contract, tort, or any other legal theory, including without limitation loss of data or its use, loss of profits, loss of business, or other economic damages, even if advised of the possibility of such loss or damage.
6. Returns. If you encounter a problem with any product that you've purchased, simply call 1-800-359-5000 weekdays 7:00 a.m.-7:00 p.m. (CT) for return authorization. We'll pick up the item and pay return shipping charges. We'll then quickly replace it, issue a full credit or give you a complete refund. 7. Pricing. Supplies purchased from this Web site are not intended for resale. Reliable reserves the right to limit quantities and to refuse orders made from office product dealers and distributors. Although we intend to maintain our pricing throughout the life of our catalogs, we reserve the right to change prices and limit quantities due to changes in market conditions. Every effort is made for this catalog to be accurate. However, occasional posting errors may occur, thus Reliable reserves the right to bill for all Supplies at the prices that they deem to be correct.
8. Furniture. All orders of furniture may be subject to additional terms and conditions.
9. Taxes. You shall be responsible for any state or local tax (excluding taxes based on Reliable's income or profits) that results from the transfer of title or sale or delivery of the Supplies purchased hereunder unless a tax exemption certificate is furnished to Reliable prior to delivery.
10. Payment. Payment is due and payable net 10 days from the date of invoice. Late payments shall be assessed a late payment charge at the rate of 1.5% per month, but in no event shall such interest exceed the maximum percentage allowable by law.
11. Credit Limits. Credit limits and terms shall be subject at all times to Reliable's credit policies and procedures, as amended from time to time.
12. Reservation of Rights. Reliable reserves the right to change at any time without notice Reliable's terms and conditions of sale.
All returns must have original packing material, manuals and other accessories provided by the manufacturer. Books; kits; digital cameras; audio, video and software products are returnable only if unopened. Defective audio, video and software products are exchangeable for the same title, version and model only. Returns for computer peripherals, software and electronics are limited to 30 days from receipts of product(s). Returns for desktop computers, laptops, notebooks, and tablet PCs are limited to 14 days from receipt of product(s). After the return time-frame has expired, please refer to the manufacturer's warranty. Special Order Service items are not returnable. All other products are eligible for free replacement, credit or refund.
